Terms of Service

By accessing and using CoBuild Manager ('Service', 'Platform', 'we', 'us', or 'our'), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our Platform.

These terms apply to all users of the Service, including construction groups, housing societies, building committees, project managers, members, vendors, and any other parties who access or use the Service.

Platform Overview

CoBuild Manager is a project management platform designed specifically for shared and co-owned real-estate construction: co-build groups, housing societies, land syndicates, and building committees. Our Service provides:

• Project management with user assignments and multi-project support • Member and vendor management capabilities • Financial tracking including deposits and expenses • Role-based access control and permissions • Comprehensive audit logging and request tracking • Data storage and management tools

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

Account Eligibility

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation • Transmit any material that is defamatory, obscene, or offensive • Impersonate or attempt to impersonate another user, person, or entity • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks • Interfere with or disrupt the Service or servers or networks connected to the Service

Data Accuracy

You are responsible for the accuracy and legality of all data you input into the Service, including member information, vendor details, financial records, and project data.

Platform Ownership

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by CoBuild Manager, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

User Data

You retain all rights to the data you input into the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Service, except as necessary for your personal use of the Service.

Subscription Fees

Access to certain features of the Service may require payment of fees. You agree to pay all applicable fees as described on our pricing page or as agreed upon in your subscription agreement.

Payment Terms

Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law or as expressly stated in these Terms.

Fee Changes

We reserve the right to change our fees at any time. We will provide you with reasonable notice of any fee changes, and you will have the opportunity to cancel your subscription before the new fees take effect.

Late Payment

If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Service until payment is made.

Data Security

Data Backup

While we maintain regular backups of data stored on our Service, you are responsible for maintaining your own backup copies of important data.

THE SERVICE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COBUILD MANAGER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Maximum Liability

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the liability.

You agree to indemnify, defend, and hold harmless CoBuild Manager and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Service • Your violation of these Terms • Your violation of any rights of another party • Any data you input into the Service • Your breach of any applicable laws or regulations

Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment of fees, or if we believe your actions may cause harm to us or other users.

Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability. We will retain your data for a reasonable period as described in our Privacy Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations between the parties.

Arbitration

If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, New York.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoBuild Manager regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.
